Terms of Service

1. Agreement to Terms

These Terms of Service ("Terms") constitute a legally binding agreement between you ("Customer," "you," or "your") and Engular LLC, a Michigan limited liability company ("Company," "we," "us," or "our"), governing your access to and use of the SupplierScore platform and related services (collectively, the "Service").

By creating an account or using the Service, you agree to be bound by these Terms. If you are accepting these Terms on behalf of an organization, you represent that you have the authority to bind that organization.

2. Description of Service

SupplierScore is a cloud-based supplier quality management platform designed for manufacturers. The Service includes:

• Approved Vendor List (AVL) management with supplier qualification workflows
• Nonconformance Report (NCR) and Corrective/Preventive Action (CAPA) tracking
• Supplier scorecards and performance metrics
• Document vault for supplier quality records
• Supplier evaluation criteria and scoring aligned with ISO 9001 §8.4.1
• Supplier communication tracking aligned with ISO 9001 §8.4.3
• Dashboard analytics and PDF report generation

3. Account Registration & Organizations

To use the Service, you must register an account and create an organization. You are responsible for maintaining the confidentiality of your login credentials and for all activities that occur under your account. Each organization operates as an isolated tenant; you may not access data belonging to other organizations.

You agree to provide accurate, current, and complete registration information and to update such information as necessary.

4. Free Trial

We offer a 14-day free trial with no credit card required. During the trial period, you have access to starter-tier features. At the end of the trial, you must subscribe to a paid plan to continue using the Service. Unused trial periods are not transferable or redeemable for credit.

5. Subscription Plans & Billing

The Service is offered under monthly subscription plans: Starter, Professional, and Enterprise. Payment is processed securely through Stripe. By subscribing, you authorize us to charge your payment method on a recurring monthly basis.

You may upgrade, downgrade, or cancel your subscription at any time through the billing portal. Downgrades take effect at the end of the current billing period. We do not offer prorated refunds for partial months.

6. Plan Limits

Each plan tier includes specific usage limits:

If you exceed your plan limits, you will be prompted to upgrade. We will not delete existing data if you exceed limits, but you may be unable to create new records until you upgrade or reduce usage.

7. Data Ownership

You retain all rights, title, and interest in your data, including supplier records, NCRs, CAPAs, documents, evaluations, scorecards, and communications uploaded to or created within the Service ("Customer Data"). We do not claim ownership of Customer Data.

You grant us a limited license to host, process, and display Customer Data solely to provide the Service to you.

8. Acceptable Use

You agree not to:

• Use the Service for any unlawful purpose or in violation of any applicable laws or regulations
• Attempt to gain unauthorized access to any portion of the Service or its related systems
• Reverse engineer, decompile, or disassemble any aspect of the Service
• Use the Service to store or transmit malicious code, malware, or harmful content
• Interfere with or disrupt the integrity or performance of the Service
• Resell, sublicense, or provide access to the Service to third parties without our consent

9. Intellectual Property

The Service, including all software, design, text, graphics, logos, and trademarks, is the exclusive property of Engular LLC and is protected by intellectual property laws. These Terms do not grant you any rights to our intellectual property except the limited right to use the Service as described herein.

10. Confidentiality

Each party agrees to maintain the confidentiality of any non-public information received from the other party and to use such information only for the purposes of these Terms. This obligation survives termination of these Terms for a period of three (3) years.

11. Disclaimer of Warranties

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, OR STATUTORY, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE, OR SECURE.

12. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, ENGULAR LLC SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS, DATA, GOODWILL, OR BUSINESS OPPORTUNITY ARISING FROM OR RELATED TO THESE TERMS OR YOUR USE OF THE SERVICE.

OUR TOTAL AGGREGATE LIABILITY SHALL NOT EXCEED THE AMOUNTS PAID BY YOU TO US IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM.

13. Indemnification

You agree to indemnify, defend, and hold harmless Engular LLC and its officers, directors, employees, and agents from and against any claims, liabilities, damages, losses, and expenses (including reasonable attorneys' fees) arising from your use of the Service, your violation of these Terms, or your violation of any rights of a third party.

14. Force Majeure

Neither party shall be liable for any failure or delay in performance due to causes beyond its reasonable control, including but not limited to natural disasters, acts of government, pandemic, internet or telecommunications failures, or cyberattacks.

15. Termination

You may terminate your account at any time by canceling your subscription and contacting us. We may suspend or terminate your access if you violate these Terms or fail to pay subscription fees.

Upon termination, your right to use the Service ceases immediately. We will retain your data for 30 days after termination, during which you may request data export. After 30 days, your data will be permanently deleted.

16. Dispute Resolution

Any dispute arising from these Terms shall be resolved by binding arbitration administered by the American Arbitration Association under its Commercial Arbitration Rules, conducted in the State of Michigan. The arbitrator's decision shall be final and binding.

Class Action Waiver: You agree that any dispute resolution proceedings will be conducted only on an individual basis and not in a class, consolidated, or representative action.

17. Governing Law

These Terms shall be governed by and construed in accordance with the laws of the State of Michigan, without regard to its conflict of law principles.

18. Changes to Terms

We reserve the right to modify these Terms at any time. We will notify you of material changes by email or through the Service at least 30 days before the changes take effect. Your continued use of the Service after the effective date constitutes acceptance of the revised Terms.

19. Severability & Entire Agreement

If any provision of these Terms is held invalid or unenforceable, the remaining provisions shall continue in full force and effect. These Terms, together with the Privacy Policy and DPA, constitute the entire agreement between you and Engular LLC regarding the Service.
